Below are our Terms of Use, which outline a lot of legal goodies, but the bottom line is it’s our aim to always take care of both you, as a customer, or as a seller on our platform.

These Terms

Accessily Ltd. ("Accessily", "we", "our", "Company") welcomes you (the "User(s)", or "you") to our website at: https://accessily.com/ (the "Site") and to our on-line marketplace platform that enables Users to publish guest posts on quality, high traffic websites (the "Platform"). The Site, the Platform and any additional functionalities and services related thereto shall be referred to herein as the “Service(s)” (as further specified below). You may use the Service and/or the Site in accordance with the terms and conditions hereunder. The term “User” or “you” refers to (i) users visiting the Site; (ii) the Buyer(s) (as such term is defined below); and/or (as applicable) (iii) the Seller(s) (as such term is defined below).

Acceptance of the Terms

By entering to, connecting to, accessing or using the Site and/or Platform you acknowledge that you have read and understood the following terms of use including the terms of our Privacy Policy (collectively, the "Terms") and you agree to be bound by them and to comply with all applicable laws and regulations regarding your use of the Service and you acknowledge that these terms constitute a binding and enforceable legal contract between Accessily and you.

IF YOU DO NOT AGREE TO THESE TERMS, PLEASE DO NOT ENTER TO, CONNECT TO, ACCESS OR USE THE SITE AND/OR THE SERVICE.

The Services are available only to individuals who (a) are at least eighteen (18) years old; and (b) possess the legal capacity to enter into these Terms (on behalf of themselves and their organization) and to form a binding agreement under any applicable law. Therefore, you hereby represent that you possess the legal authority to enter into these Terms on your and your organization's behalf and to form a binding agreement under any applicable law, to use the Site and Services in accordance with these Terms, and to fully perform your obligations hereunder. If you are using the Service for the benefit of and/or on behalf of any third party, you hereby represent that such third-party was made aware of these Terms and that you possess all required consents and/or permissions to use this Service on behalf of and/or for the benefit of such third party . For the avoidance of doubt, any act or omission performed by you in connection with the Site and Service shall obligate your organization.

The Services

Our Site available at https://accessily.com/ provides you with information regarding Accessily and our Services. The Site includes a link to the Platform's log-in page.

The Platform allows owners of certain online properties (such as content websites) (the “Buyers” and “Properties”, respectively) to ordering and purchasing content and relevant services from Users of the Platform that provide appropriate content (the “Sellers” and “Seller Content”, respectively) by placing an online order (the “Order”) via the Platform. 

Terms for Sellers:

·         Sellers may use the Platform to publish details regarding potential Seller Content and other services made available by them (“Seller Service”), the applicable fees for such Marketing Content and Seller Services and other relevant details, such as the Seller’s social media accounts, location and demographics. Accessily may require additional details to be provided. 

·         Accessily may also approach Sellers with offers to obtain Seller Services and Seller Content from applicable Buyers.

·         To the extent that the Seller wishes to enter into a transaction with a Buyer, the parties shall enter into an Order via the Platform, which stipulates the relevant terms of the transaction. The Order, including all Seller Content and Seller Services provided thereunder, constitutes a separate and independent transaction between the Seller and Buyer and Accessily is not a party to such transaction. Accessily only provides the Platform to facilitate such transactions and it disclaims all warranties and representations relating to the Seller Content and Seller Services or other express or implied warranties provided under any Order, and shall not be held liable for any act or omission of either the Buyer or Seller in respect of any Order. Entering into an Order is at the parties’ own risk. Any conflict or dispute relating to an Order, Seller Content and/or Seller Services must be resolved between the applicable Buyer and Seller and Accessily is not a party to such conflict or dispute and is not obligated to take part in or resolve such conflict or dispute.

·         Seller shall provide the Seller Content and Seller Services and any other deliverables specified in the Order within the timeframe and in accordance with any other conditions set forth in the Order. The Seller hereby warrants that the Seller has all necessary knowledge and expertise to provide the Seller Content and perform the Seller Services under the Order, and that the Seller shall deliver them in a workmanlike, timely and professional manner and that they shall be performed in material compliance with the Order and acceptable standards in the applicable field.

·         The Seller hereby represents and warrants that all Seller Content is the Seller’s original work and that it does not and will not infringe any applicable law and/or third party right, including without limitation intellectual property rights and privacy rights. The Seller shall hold harmless and fully indemnify Accessily and/or the Buyer for any third party claim, including all costs, expenses, damages and liabilities, which results from breach of said warranty.

·         Seller agrees and acknowledges that during the term of any Order and for a period of 12 months thereafter, Seller shall provide any additional seller content and/or other services of any kind to the Buyer identified in the Order, or perform collaborations of any kind to the applicable Buyer exclusively by way of Orders issued via the Platform.

·         Seller agrees to maintain, for at least 3 years following the execution of each Order, accurate and complete records of all communications and materials which relate to applicable Orders and Buyers and to provide such records to Accessily upon demand.

·         Sellers may either integrate their existing social media accounts (such as Facebook, Instagram or Twitter accounts) (“Social Media Accounts”) with the Platform (as further detailed below) and/or provide Accessily with information relating to their Social Media Accounts. To this extent Accessily may require that the Seller includes certain tags in his/her Social Media Account. Accessily, may obtain, and the Seller authorized Accessily to obtain, any publicly available information and content, including without limitation texts, personal information, names, demographics, followers and photos, included in such Social Media Accounts. Such information and content may be retained on Accessily’s (or its service providers’) servers and may be made available to other Users via the Platform. Seller hereby waives any and all rights and claims with respect to Accessily obtaining such content and information, including without limitation any moral rights, copyrights or privacy rights, and shall hold harmless and fully indemnify Accessily against any third party claim, including all costs, expenses, damages and liabilities, relating to the obtaining, storage, publication or any use of such content and information.

·         All Seller Services and Seller Content are subject at all times to the Buyer’s reasonable approval, direction and control and the Seller agrees to abide by all reasonable instructions, directions and recommendations issued by the Buyer in connection therewith.

Terms for Buyers:

·         The terms for Sellers, as detailed above, shall apply to Buyers as well, mutatis mutandis.

·         Buyer may use the Platform to create and manage marketing campaigns and to purchase Seller Content and Seller Services to be used in such campaign (collectively, the “Campaign”). The Buyer may upload to the Platform relevant Campaign information (e.g., budget, targets, types of content, etc.). The Platform enables Buyers to receive proposals for appropriate Seller Content and Seller Services from Sellers. To take effect, any proposal must be finalized by way of executing an Order, as detailed in the Terms for Sellers above (and all conditions and disclaimers shall apply).

·         Buyer represents and warrants that use of Seller Content and Seller Services is at its own risk and that Accessily is not responsible and shall not be held liable for any such use.

·         Upon the execution of the Order, the Buyer shall be required to pay Accessily the applicable fees, as set forth on the Site and/or Platform and/or Order, and as further detailed below. Only after the execution of the Order by the Buyer and payment of applicable fees shall the Order be sent to the Seller, for Seller’s approval and execution. If the Seller is unable to provide the required Seller Content or Seller Services in accordance with the terms stipulated in the Order, the Order will be declined and the fees will be refunded to the Buyer's Account.

·         If the Order is accepted by the Seller and upon the successful publication of the Seller Content, a notice of publication will be issued to the Buyer, ratifying the publication of the Seller Content, in accordance with the terms agreed in the Order (“Notice of Publication”).

·         The Platform shall provide the Buyer with a dashboard which presents certain parameters relating to the Campaign. Accessily makes no warranties or representation in respect of the information detailed in the dashboard and reliance on such information is at Buyer’s own risk.

·         Buyers have the option to use Accessily’s full managed campaign service (“Campaign Service”). Under the Campaign Service, the Buyer shall set a monthly budget, while Accessily will be responsible for finding Sellers who will publish Seller Content on Buyer Properties and will enter into Orders with them on behalf of the Buyer, all at Accessily sole discretion and choice, based on the monthly budget approved by the Buyer. The applicable fees shall be paid on a monthly basis. All Campaign Services are subject to the Buyer’s reasonable direction and control and Accessily agrees to abide by all reasonable instructions, directions and recommendations issued by the Buyer in connection therewith. NO REFUNDS SHALL BE PROVIDED FOR THE USE OF THE CAMPAIGN SERVICES.

·         Accessily may require Buyers to hold an active subscription Account (as defined below) in order to use some or all of the services offered via the Platform.

General Terms:

·         All fees payable by the Buyer to the Seller under an Order or otherwise will be kept in escrow by Accessily and transferred to the Seller upon the successful publication of the Seller Content. "Successful publication" shall occur to the extent that the Seller Content is published in accordance with the terms and criteria stipulated in the Order. Seller hereby agrees that if any Seller Content was not published in accordance with all criteria stipulated in the Order, then this will not be considered as a "successful publication" and the Seller will not be entitled to any payment (and the fees transferred to Accessily by the Buyer for such services shall be refunded to the Buyer's Account).

·         All executed Orders are final, and any changes thereto shall be executed by a supplementary Order executed by Buyer and Seller.

·         Fees included in Orders are final and all inclusive, and Sellers shall not be entitled to any further remuneration or royalties and disclaim all rights and claims relating thereto. Accessily may charge a commission for its Services, which will automatically be deducted from the fees remitted to the Seller, all as further stipulated on the Site and/or Platform. 

·         PLEASE NOTE THAT PRICES FOR SELLER CONTENT AND SELLER SERVICES MAY VARY AND IT IS YOUR RESPONSIBILITY TO PERIODICALY CHECK THE PRICES PUBLISHED ON THE SITE AND/OR PLATFORM. FOR CAMPAIGN SERVICES, WE RESERVE THE RIGHT, AT OUR SOLE DISCRETION, TO EXCEED THE MONTHLY BUDGET, UP TO 50% OF SUCH BUDGET PER MONTH.

·         Accessily may refuse to coordinate any Order, decline a Campaign and remove any Account at any time and its sole discretion.

·         All Seller Content shall de deleted from the Platform upon termination of the applicable Seller/Buyer Account (as defined below). It is the Seller/Buyer’s sole responsibility to maintain backup copies of all applicable data and content, including Seller Content. In such event, Accessily disclaims all obligations with respect to the storage of Seller Content or any other data or content relating to an Order or an Account.

PLEASE READ CAREFULLY:

IT IS HEREBY CLARIFIED THAT ACCESSILY IS NOT A PARTY TO ANY ORDER OR AGREEMENT EXECUTED AMONG ITS USERS ARISING FROM THEIR USE OF THE SITE AND/OR THE PLATFORM THE SERVICES, AND THAT IT DISCLAIMS ALL LIABILITY IN CONNECTION THERETO.

ACCESSILY DOES NOT IN ANY WAY ENDORSE ANY SELLER CONTENT OR SERVICE PROVIDED BY THE SELLERS AND IS NOT AFFILIATED WITH ANY OF THE SELLERS OR THE SELLER CONTENT AND SERVICES THEY SELL VIA THE PLATFORM. ACCESSILY WILL NOT BE RESPONSIBLE FOR THE CONTENT, QUALITY, LEGALITY OR THE LEVEL OF SELLER CONTENT  AND/OR SELLER SERVICES PROVIDED BY THE SELLERS AND WILL NOT BE LIABLE FOR ANY DAMAGES WHATSOEVER ARISING FROM OR IN CONNECTION WITH THE USE OR INABILITY TO USE ANY SELLER CONTENT  AND/OR SELLER SERVICES. ANY LEGAL CLAIM RELATED TO SELLER CONTENT AND/OR SELLER SERVICES PURCHASED VIA THE PLATFORM MUST BE BROUGHT DIRECTLY AGAINST THE SELLER.

YOU HEREBY RELEASE ACCESSILY FROM ANY CLAIMS AND AGREE THAT ACCESSILY SHALL NOT BE LIABLE OR RESPONSIBLE FOR ANY DAMAGES, CLAIMS, LIABILITIES, COSTS, HARM, INCONVENIENCES, BUSINESS DISRUPTIONS OR EXPENDITURES OF ANY KIND THAT MAY ARISE AS A RESULT OF OR IN CONNECTION WITH ANY SELLER CONTENT AND/OR SELLER SERVICES PURCHASED VIA THE SERVICES.

YOU AGREE AND ACKNOWLEDGE THAT THE USE OF THE SERVICE, INCLUDING THE PURCHASE AND/OR USE OF ANY SELLER CONTENT  AND/OR SELLER SERVICES FROM ANOTHER USER IS ENTIRELY AT YOUR OWN RISK.

YOU ACKNOWLEDGE AND AGREE THAT ACCESSILY DOES NOT HAVE ANY OBLIGATION TO CONDUCT BACKGROUND CHECKS ON ANY SELLER. WE DO NOT INVESTIGATE OR VERIFY ANY SUCH SELLER'S REPUTATION, CONDUCT, MORALITY, AND/OR CRIMINAL BACKGROUND.

The Site and/or the Platform may include any other content related thereto such as contact information, videos, text, logos, button icons, images, data compilations, links, other specialized content, technical data, documentation, know-how, specifications materials, designs, data, the “look and feel” of the Site and/or Platform, algorithms, source and object code, interface, GUI, interactive features related graphics, illustrations, drawings, animations, and other features obtained from or through the Platform (collectively, the “Content”). In addition, we may offer you updates via e-mail regarding any of our products, developments, and etc.

(Collectively, but Seller Content and/or Seller Services: the “Service(s)”)

ALL RIGHTS IN AND TO THE SITE AND/OR SERVICES AND/OR THE CONTENT AVAILABLE ON THE SITE AND/OR THE PLATFORM ARE RESERVED TO ACCESSILY OR ITS LICENSORS. TO THE EXTENT LEGALLY PERMISSIBLE, THE PLATFORM, THE SERVICES, THE SITE AND THE CONTENT AVAILABLE THEREIN ARE PROVIDED ON AN “AS IS” BASIS. ACCESSILY WILL NOT BE LIABLE FOR ANY DAMAGES OR LOSS INCURRED TO YOU OR ANY OTHER PERSON AS A RESULT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, THE SERVICES, THE SITE AND/OR THE CONTENT AVAILABLE THEREIN.

YOUR USE OF THE SITE AND/OR PLATFORM AND/OR THE SERVICES AND/OR THE CONTENT AVAILABLE THEREIN IS ENTIRELY AT YOUR OWN RISK.

ACCESSILY DOES NOT, EITHER EXPRESSLY OR IMPLICITLY, IN ANY MANNER ASSUME ANY RESPONSIBILITY FOR ANY LOSS, INJURY DAMAGES INCURRED AS A RESULT, OR IN CONNECTION WITH, THE USE OF THE SERVICE OR ANY DECISION MADE OR ACTION TAKEN OR NOT TAKEN IN RELIANCE ON THE USE OF THE SERVICE. WE DO NOT GUARANTEE THAT ANY OF THE USERS' NEEDS WILL BE FULFILLED.

Registration and User Account

You have to register and open a User Account in order to use the Platform (whether as a Buyer or a Seller) (the "Account"). The registration is free of charge. Registration can be done by completing the registration form on the Site (dashboard.accessily.com/register) or by using a personal social network account (namely, Facebook, Google, Twitter or Instagram, collectively ("Social Network Accounts").

You may not have more than one (1) active Account and creating multiple Accounts with overlapping uses or in order to evade a suspension of your Account (as further detailed below) is not allowed.

In order to protect the security of your Personal Information (as defined in the Privacy Policy) available on your Account to the greatest extent possible, you must safeguard and not disclose your Account log-in details and you must supervise the use of such Account.

YOU ARE SOLELY AND FULLY RESPONSIBLE FOR MAINTAINING THE CONFIDENTIALITY OF THE PASSWORD AND ACCOUNT AND FOR ALL ACTIVITIES THAT OCCUR UNDER YOUR ACCOUNT. If we in good faith believe you have created an Account impersonating another person you may be exposed to civil and/or criminal liability.

You may not assign or transfer your rights or delegate your duties under the Account without the prior written consent of Accessily. You must notify us immediately of any unauthorized use of your Account or any other breach of security. We cannot and will not be liable for any loss or damage arising from any failure of yours to comply with these Terms, i.e., if someone else accesses your Account through the registration information he/she has obtained from you or through a violation by you of these Terms, or for any unauthorized use of your credentials or Account or any other breach of security.

If you wish to cancel and remove your Account, please send us an e-mail of your request to: [email protected]. Your Account will terminate within reasonable time following your request, and from that date of termination you will no longer be able to access your Account (see further details in the Privacy Policy). Note that you will be able to edit or remove, at any time, any information contained in your personal Account. You may do so by using the edit button.

CANCELLING YOUR ACCOUNT MAY CAUSE THE LOSS OF CERTAIN INFORMATION YOU PROVIDED US AND/OR THE CAPACITY OF YOUR ACCOUNT. WE DO NOT ACCEPT ANY LIABILITY FOR SUCH LOSS.

Seller Content

Seller Content may include copyrightable materials such as, images, literary works, text material and any other proprietary materials. Sellers must respect the proprietary rights including any intellectual property and privacy rights of third parties who have any rights with respect to the Seller Content. Accessily will not bear any liability for any loss, damage, cost or expense that you may suffer or incur as a result of or in connection with providing any Seller Content.

With respect to each Order and subject to delivery of full payment to Seller, the Seller agrees to assign and hereby assigns and transfers to the applicable Buyer, without additional consideration other than the consideration stipulated in the applicable Order, the entire right, title and interest that the Seller may have in and to the Seller Content provided under such Order. Other than with respect to the credit included in the Seller Content as published in the Properties, the Seller hereby waive all past, present and future claims relating to any moral rights, artists’ rights, or any other similar rights worldwide in or to the Seller Content. To the extent that Seller Content includes any content, works, information or materials of third parties, the Seller represents and warrants that it has obtained all necessary consents, rights and licenses to include such content in the Seller Content and the Seller grants to the Buyer an irrevocable, perpetual, non-exclusive, royalty-free, transferable, assignable, fully sub-licensable and worldwide license, to use, reproduce, distribute, transmit, create derivative works of, display, copy, and perform such content which is part of the Seller Content provided under the applicable Order, whether through the Internet, mobile devices or otherwise, in any media formats and through any media channels known today and developed in the future. Seller hereby agrees and understands that Seller will not be entitled to prevent any transfer of Seller Content to any third-party. Sellers represent and warrant that they are the rightful owner of the Seller Content provided to Buyers or otherwise uploaded to the Platform or that they have (and will continue to have) all the necessary licenses, rights, consents, and permissions from the rightful owners of such Seller Content and that such Seller Content does not infringe any third-party's intellectual property rights or other rights (including without limitation, any privacy rights, publicity rights, copyrights, or any other intellectual property rights). Seller grants to Accessily an irrevocable, perpetual, non-exclusive, royalty-free, transferable, assignable, fully sub-licensable and worldwide license, to use, reproduce, distribute, transmit, create derivative works of, display, copy, and perform that Seller Content, along with the name of the Seller, in connection with the Order, the Site, the Services and the Platform, whether through the Internet, mobile devices or otherwise, in any media formats and through any media channels known today and developed in the future; subject to the terms of the Order Buyers may publish and use any Seller Content without the Sellers prior consent.

IT IS THE SELLER’S RESPONSIBILITY TO OBTAIN ANY AND ALL CONSENTS REQUIRED UNDER ANY APPLICABLE LAWS, REGARDING THE POSTING OF ANY PERSONAL INFORMATION OF OTHERS WHICH IS PART OF THE SELLER CONTENT, AND TO ADHERE TO ANY APPLICABLE LAWS REGARDING SUCH INFORMATION.

Sellers agree that they will include in any Seller Content content which is unlawful to possess, post or upload, or which it would be unlawful for Accessily or the Buyer to use or possess in connection with the Order and/or Platform and/or Services (including but not limited to any content which is defamatory, libellous, pornographic, indecent, harassing, threatening, abusive or fraudulent).

Although Accessily has no obligation to screen, edit or monitor any of the Seller Content, Accessily explicitly reserves the right, at its sole discretion, to remove or edit, without giving any prior notice, any Seller Content at any time and for any reason. Accessily shall not bear any liability for any use by any third-party, including the Buyer, of the Seller Content. In addition, Seller hereby explicitly waives any moral right Seller may have in and to the Seller Content and forever waives and agree not to claim or assert any entitlement to any and all moral rights in any of the Seller Content. 

Interactive Areas

Registered Users can interact with each other through private chat features ("Interactive Areas"). You are solely responsible for your use of such Interactive Areas and use them at your own risk.

As a provider of such Interactive Areas, Accessily is not liable for any statements, representations or content provided by its Users in such Interactive Areas and will not bear any liability for any loss, damage, cost or expense that you may suffer or incur as a result of or in connection with the Interactive Areas.

You represent and warrant that you are the rightful owner of the content you transmit via the Interactive Areas and that such content does not infringe any third party's intellectual property rights, privacy rights or publicity rights.

You expressly agree that the content transmitted via the Interactive Areas will not include any unsolicited promotions, advertising, contests or raffles or any content which is unlawful for you to possess, post or upload in the country in which you are resident, or which it would be unlawful for Accessily to use or possess in connection with the Service (including but not limited to any content which is defamatory, libelous, pornographic, indecent, harassing, threatening, abusive or fraudulent).

Fees and payments

The fees and subscription rates for the Service are specified in the Site and or Platform. Payments are currently accepted and processed solely in U.S Dollars. Sellers’ fees are specified in the Platform and may change from time to time.

Payments are processed via certain online payment service providers (“Online Payment Processors”). We may add or change the Online Payment Processors in our sole discretion. The Online Payment Processors enable you to send payments securely online using a credit card, debit card or bank account. We do not control and are not affiliated with such Online Payment Processors. These Online Payment Processors are independent contractors and have no employment or agency relationship with Accessily. Accessily is not responsible in any way for the actions or performance (or lack thereof) of the Online Payment Processors. The use of the Online Payment Processors is at your own risk. It is your responsibility to abide by all the terms specified by the Online Payment Processors in their terms of use and privacy policies. You acknowledge that you are fully assuming the risks of conducting any transactions via the Online Payment Processors.

Fee rates may be amended from time to time by Accessily at its sole discretion. If you do not agree to an updated fees schedule, you may terminate your use of the Service before the new fees are entered into effect.

Payment shall be made by the Buyer upon the completion of an Order. Such payment will be held by the Online Payment Services' provider until the successful publication of the Post in the applicable Properties, in accordance with the terms specified in the Order. Once a Notice of Publication has been provided to Buyer, we will instruct the Online Payment Processors to deliver the Payment to the Seller, deducting any applicable fees and sums owed to the Online Payment Processors and/or Accessily for providing the Service.

You, as a User of our Site, may not offer to or receive payment from other Users using any method other than through the Service. You, as the Buyer, may not pay Sellers directly and you, as the Buyer, may not accept such payment. In case you have been asked to use an alternative payment method, please report it to us immediately.

All fees and payments made hereunder do not include applicable sales, use, gross receipts, value-added, personal property or other taxes. Seller will be responsible for and pay all applicable taxes, duties, tariffs, assessments, export and import fees or similar charges (including interest and penalties imposed thereon) on the transactions contemplated in connection with an Order.

You may not cancel Orders once they have been submitted, finally approved by the Seller(s) and no refunds will be made under these circumstances. Refunds will be transferred to your Accessily Account, upon the receipt from Accessily, a written notice of rejection, according to which a successful publication did not accrued in accordance with the Order. Notwithstanding the above-mentioned, the Seller and/or Buyer has the ability to cancel the Order only in the case of force majeure or unforeseeable circumstance event. If an Order has been cancelled due to force majeure event or unforeseeable circumstance the payment will be returned to the Buyer's credit card and/or bank account from which payment was made. OTHER THAN WITH RESPECT TO FORCE MAJEURE EVENTS, IN WHICH REFUNDS WILL BE MADE TO YOUR CREDIT CARD/BANK ACCOUNT FROM WHICH PAYMENT WAS MADE, IN ALL OTHER CIRCUMSTANCES FOR WHICH YOUR ARE ELIGABLE FOR REFUND (AS STIPULATED HEREIN), REFUNDS WILL BE MADE SOLELY TO YOUR ACCESSILY ACCOUNT.

Notwithstanding the above, no refund shall be made for the use of the Campaign Services.

Use Restrictions

There are certain conducts, which are strictly prohibited when using the Service. Please read the following restrictions carefully. Failure to comply with any of the provisions set forth herein may result (at Accessily's sole discretion) in the termination of your use of the Service and may also expose you to civil and/or criminal liability.

You may not (and you may not permit any third party to), unless otherwise explicitly permitted under these Terms: (a) use the Service and/or the Content for any illegal, immoral, unlawful and/or unauthorized purposes; (b) use the Service and/or Content for non-personal or commercial purposes without Accessily's express prior written consent; (c) remove or disassociate, from the Content and/or the Platform and/or the Site any restrictions and signs indicating proprietary rights of Accessily's and/or its licensors and/or affiliates, including but not limited to any proprietary notices contained in such materials (such as ©,™, or ®), and you represent and warrant that you will abide by all applicable laws in this respect; (d) interfere with or violate Users' rights to privacy and other rights, or harvest or collect personally identifiable information about Users without their express consent, whether manually or with the use of any robot, spider, crawler, any search or retrieval application, or use other manual or automatic device, process or method to access the and retrieve, index and/or data-mine information; (e) interfere with or disrupt the operation of the Site and/or Platform or the servers or networks that host the Platform and/or Site, or disobey any laws, regulations, requirements, procedures, or policies of such servers or networks; (f) falsely state or otherwise misrepresent your affiliation with any person or entity, or express or imply that the Company endorses you, your site or app, your business or any statement you make, or present false or inaccurate information about the Service; (g) take any action that imposes, or may impose, an unreasonable or disproportionately large load on our platform infrastructure, as determined by us; (h) bypass any measures we may use to prevent or restrict access to the Site and/or the Platform; (i) copy, modify, alter, adapt, replicate, make available, translate, port, reverse engineer, decompile, or disassemble any portion of the Content made available by Accessily on or through the Site and/or Platform, or publicly display, reproduce, create derivative works from, perform, distribute, or otherwise use such Content; (j) copy, distribute, display, execute publicly, make available to the public, reduce to human readable form, decompile, disassemble, adapt, sublicense, make any commercial use, sell, rent, transfer, lend, process, compile, reverse engineer, combine with other software, translate, modify or create derivative works of any material that is subject to Accessily's proprietary rights, including Accessily's Intellectual Property (as such term is defined below), in any way or by any means, unless expressly permitted in the Terms under any applicable laws which expressly permits such actions; (k) make any use of the Content on any other app and/or site and/or networked computer environment for any purpose without Accessily's prior written consent; (l) create a browser or border environment around Accessily's Content (no frames or inline linking is allowed); (m) sell, license, or exploit for any commercial purposes any use of or access to the Site and/or Platform and/or Content; (n) frame or mirror any part of the Site and/or Platform without Accessily's prior express written authorization; (o) create a database by systematically downloading and storing all or any of the Content from the Site and/or Platform; (p) transmit or otherwise make available in connection with the Site and/or Platform any virus, worm, Trojan Horse, time bomb, web bug, spyware, or any other computer code, file, or program that may or is intended to damage or hijack the operation of any hardware, software, or telecommunications equipment, or any other actually or potentially harmful, disruptive, or invasive code or component; (q) use the Service for any purpose for which the Service is not intended (r) infringe and/or violate any of the Terms.

Trademarks and Trade names

"Accessily" and all logos and other proprietary identifiers used by Accessily in connection with the Service (“Accessily Trademarks”) are all trademarks and/or trade names of Accessily, whether or not registered. All other trademarks, service marks, trade names and logos which may appear on the Service belong to their respective owners (“Third Party Marks”). No right, license, or interest to Accessily Trademarks and/or to the Third Party Marks is granted hereunder, and you agree that no such right, license, or interest shall be asserted by you with respect to Accessily Trademarks or the Third Party Marks and therefore you will avoid using any of those marks, unless expressly permitted herein.

License

IN ANY CASE, WITHOUT LIMITING THE GENERALITY OF THE FOREGOING AND TO THE MAXIMUM EXTENT LEGALLY PERMISSIBLE, ACCESSILY'S AND ACCESSILY 'S REPRESENTATIVES' TOTAL AGGREGATE LIABILITY FOR ALL DAMAGES OR LOSSES WHATSOEVER ARISING HEREUNDER OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SITE OR THE SERVICES SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU, TO ACCESSILY FOR USE OF THE SITE AND/OR PRODUCTS OVER THE THREE (3) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO SUCH CLAIM SUCH.

INASMUCH AS SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSIONS OR LIMITATIONS AS SET FORTH HEREIN, THE FULL EXTENT OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY.

Indemnification

You agree to defend, indemnify and hold harmless Accessily from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney's fees) arising from: (i) your use of the Site, the Platform and/or Service; (ii) your violation of any term of these Terms; (iii) any damage of any sort, whether direct, indirect, special or consequential, you may cause to any third party which relates to your use of the Service, including without limitation any damage resulting from purchase of a Post sold by you, as a Seller, to a Buyer through this Platform and Service, including in connection with any payment disputes between Sellers and Buyers; (iv) your violation of any third party rights, including without limitation any intellectual property rights or privacy right of such third party; and (v) communications and/or interactions with Users and/or other persons arising from your use of the Site.

Without derogating from the foregoing, we reserve the right to assume the exclusive defense and control of any matter which is subject to indemnification by you, which will not excuse your indemnity obligations hereunder and in which event you will fully cooperate with us in asserting any available defense. You agree not to settle any matter subject to an indemnification by you without first obtaining our prior express written approval.

Amendments to the Terms

Accessily may change the Terms from time to time, at its sole discretion and without any notice. Such substantial changes will take effect seven (7) days after such notice was provided on our website or sent by email.
